General Terms and Conditions SPICES V.O.F. - Cannoli Box

Article 1: Definitions and Interpretation

  1. "SPICES V.O.F." (hereinafter referred to as "CB"), located in Barendrecht, operates under the name "Cannoli Box" for the sale and delivery of cannoli and related products.
  2. "Products": All goods offered to the Client as part of Cannoli Box's services.
  3. "Agreement": Any agreement between CB and the Client regarding the purchase of Products, including electronic orders.
  4. "Client": The natural person or legal entity who purchases a product or service from CB.

Article 2: Applicability

  1. These General Terms and Conditions apply to all offers, agreements, and services provided by CB, unless otherwise agreed upon in writing.
  2. Deviations from these General Terms and Conditions are only valid if explicitly confirmed in writing by CB.

Article 3: Offers and Quotations

  1. All offers from CB are non-binding, unless explicitly stated otherwise.
  2. CB guarantees that the product descriptions are truthful and correspond to the actual products.

Article 4: Prices and Payment

  1. Prices include VAT and exclude any shipping costs.
  2. Payment must be made within the stipulated payment period of 30 days after the invoice date, unless otherwise agreed.

Article 5: Delivery

  1. Delivery takes place at the address specified by the Client.
  2. Specific delivery terms will be determined by mutual agreement.

Article 6: Retention of Title

  1. All delivered Products remain the property of CB until the Client has fully met its payment obligations.

Article 7: Liability

  1. CB is not liable for indirect damage, unless there is intent or gross negligence.
  2. CB's liability is limited to the invoice amount of the relevant delivery.

Article 8: Force Majeure

  1. In case of force majeure, CB has the right to suspend the execution of the Agreement or to dissolve the Agreement without judicial intervention.

Article 9: Confidentiality and Privacy

  1. Both parties are obliged to maintain the confidentiality of all confidential information.
  2. Personal data will be processed in accordance with applicable privacy legislation.

Article 10: Complaints

  1. Complaints about the Products must be reported to CB within 2 days after delivery.
  2. CB aims to handle complaints within 14 days of receipt.

Article 11: Applicable Law and Disputes

  1. Dutch law applies to all legal relationships between CB and the Client.
  2. Disputes will be submitted to the competent court in the district where CB is located.
